These men want to takedown Sarbanes-Oxley
The Supreme Court has taken up the issue of PCAOB constitutionality, which has thrust two Jones Day lawyers Michael Carvin and Noel Francisco into the case of a lifetime. The world sees them as taking on the Sarbanes-Oxley Act of 2002 and the entire corporate regulatory edifice that it gave birth to. And we are inching ever closer to D-day.
Business Week offers a profile of the two men, who are litigating this for free. They are already heroes in conservative political circles. As we've noted the main issue is Presidential power. The law's detractors say the PCAOB cries out for Presidential appointment, not agency appointment. The irony is obvious. But all this started before the current administration came to power. It remains unclear how a victory by the anti-Sarbox forces would ripple out. Congress may be able to fix the bill. But others say it will open it up for debate and radical restructuring. No matter what, you get the feeling we'll be hearing from these two guys on other legislative proposals.
